As announced this morning, Alliance Entertainment Holding Company has acquired the major assets of Diamond Comics Distributors. Alliance is publicly traded global wholesaler and distributor, who lists music, movies, video games, electronics, arcades, and collectibles among their products offered. And now add comics.
Although according to the release, Alliance acquired “substantially all” of Diamond’s assets, the release only mentions Diamond Comic Distributors, Alliance Game Distributors, and Collectible Grading Authority – the list of acquired assets includes Diamond Select Toys & Collectibles. Presumably this includes Diamond Books and perhaps Diamond UK. Not specifically mentioned: Diamond Select Toys and Gentle Giant and, perhaps most dear to the hearts of the comics industry, Free Comic Book Day. “Substantially all” is not the same as “all” so we’ll find out what went where.

Perhaps the most notable thing about this surprise suitor is that everyone wondering who would buy Diamond was looking inside the comics world – when the reality is that Diamond’s toy and game business was just as valuable, if not more so, and drew interested from players outside the comics world in the highly ordinary world of global distribution.

The proposed acquisition, which is subject to Bankruptcy Court approval, includes Diamond Comic Distributors (U.S.), Alliance Game Distributors, Diamond Select Toys & Collectibles, and Collectible Grading Authority, which collectively represent a 42-year-old enterprise recognized as a category-defining leader in comic books, tabletop games, pop-culture merchandise, and collectible grading.

Alliance Entertainment intends to finance the acquisition through an amendment to its existing $120 million Revolving Credit Facility, which it expects to increase to $160 million. The amended facility will be secured by a pledge of the acquired assets, alongside the Company’s existing collateral. The transaction and credit facility amendment are expected to close in April 2025, subject to final bankruptcy court approval and customary closing conditions.
